This Referral Partner Agreement ("Agreement") is entered into between Freedom Oaks Digital LLC ("Freedom Oaks," "Company," "we," or "us") and the undersigned or electronically enrolled business client ("Referral Partner," "Partner," or "you").

By accepting this Agreement, the Referral Partner agrees to participate in the Freedom Oaks Digital Referral Partner Program under the following terms and conditions.

1. PROGRAM PURPOSE

The Freedom Oaks Digital Referral Partner Program rewards eligible existing clients for introducing other businesses that become paying Freedom Oaks Digital customers.

The program is designed to encourage mutually beneficial business relationships and compensate Referral Partners for successful introductions.

Participation is voluntary. Referral Partners are not required to generate any minimum number of referrals.

2. ELIGIBILITY

To participate, the Referral Partner must:

1. Be an existing, active, paying client of Freedom Oaks Digital.
2. Maintain an account in good standing, with no materially overdue subscription payments.
3. Complete the referral partner enrollment process.
4. Accept this Agreement.
5. Provide accurate contact and payment information when requested.
6. Comply with all applicable laws and program requirements.

Freedom Oaks reserves the right to reject an application or terminate participation for fraud, misrepresentation, material violations of this Agreement, or other legitimate business reasons.

Participation does not create an employment, franchise, agency, or joint venture relationship.

3. REFERRAL COMMISSION STRUCTURE

Eligible Referral Partners earn a recurring cash commission equal to:

10% of Qualifying Monthly Subscription Revenue

For each successfully referred business that becomes an active paying Freedom Oaks Digital client, the Referral Partner earns 10% of the qualifying subscription revenue actually collected from that business each month.

Examples:

• A referred client paying $499/month generates a potential $49.90 monthly commission.
• A referred client paying $999/month generates a potential $99.90 monthly commission.
• Ten referred clients each paying $499/month generate a potential $499 in monthly commissions.

These examples are illustrative and do not guarantee earnings.

There is no maximum number of qualified referrals and no cap on total eligible recurring commissions.

Commissions are paid in cash through the Company's designated payout method, not as subscription credits or discounts.

4. QUALIFYING SUBSCRIPTION REVENUE

"Qualifying Monthly Subscription Revenue" means recurring service subscription payments successfully received and retained by Freedom Oaks from an eligible referred client.

Qualifying revenue excludes:

• One-time setup or implementation fees.
• Taxes.
• Refunds, credits, chargebacks, and reversed payments.
• Pass-through software, telecommunications, messaging, AI usage, or similar usage-based charges.
• Third-party advertising budgets and other amounts collected on behalf of third parties.
• Nonrecurring purchases or services not expressly designated as commissionable by Freedom Oaks.

Commissions are calculated on the net qualifying subscription amount actually collected, after applicable discounts and adjustments.

If a referred client's subscription price changes, future commissions will be calculated using the qualifying amount actually collected at the applicable 10% commission rate.

5. QUALIFIED REFERRALS AND ATTRIBUTION

A referral qualifies for commission eligibility only when:

1. The Referral Partner submits the business through an approved Freedom Oaks referral form, personalized referral link, or another method expressly accepted by Freedom Oaks.
2. The referred business is not already an active Freedom Oaks client or an existing sales opportunity, unless Freedom Oaks expressly approves the referral in writing.
3. The referral can be reasonably attributed to the Referral Partner.
4. The referred business independently chooses to purchase an eligible recurring Freedom Oaks subscription.
5. The referred business successfully completes its first qualifying subscription payment.
6. The referral and Partner otherwise satisfy this Agreement.

Submitting a referral does not guarantee its acceptance or conversion into a paying client.

Where multiple partners refer the same business, Freedom Oaks will generally recognize the earliest valid, documented referral, subject to verification.

Freedom Oaks will maintain reasonable records of referral submissions and commission eligibility.

6. REFERRAL SUBMISSION METHODS

Referral Partners may introduce prospective clients through:

Direct Referral Submission: Completing the official referral form with the prospective business's relevant contact information.

Personalized Referral Link: Sharing an assigned referral link that allows the prospective business to learn about Freedom Oaks and request further information or a consultation.

Referral Partners must not submit false information, create duplicate or fictitious leads, or manipulate attribution systems.

When sharing another person's contact information, Referral Partners must have appropriate permission to make the introduction.

7. COMMISSION EARNING AND DURATION

Commissions are earned only on eligible, successfully collected subscription payments.

Recurring commissions continue while all of the following conditions are satisfied:

• The Referral Partner remains an active, eligible Freedom Oaks client in good standing.
• The referred business remains an active paying Freedom Oaks client.
• Freedom Oaks continues to receive qualifying subscription payments from the referred business.
• Neither party has been disqualified under this Agreement.

If the referred business cancels its subscription, future commissions associated with that subscription stop.

If the Referral Partner cancels its own Freedom Oaks subscription or otherwise becomes ineligible, no new commissions accrue after the effective date of ineligibility.

Commissions validly earned before termination remain payable, subject to refunds, chargebacks, lawful offsets, and the terms of this Agreement.

8. MONTHLY COMMISSION PAYMENTS

Approved commissions will be calculated monthly and are generally scheduled for payment on or around the 15th day of the following calendar month.

For example, qualifying subscription revenue collected in November would ordinarily be included in the December payout cycle.

Payments may be delayed when reasonably necessary to:

• Verify the referral's eligibility.
• Reconcile payment records.
• Resolve refunds, chargebacks, or disputed transactions.
• Obtain required payment or tax information.
• Address suspected fraud or compliance concerns.

Freedom Oaks may deduct or offset previously overpaid commissions against future amounts owed, to the extent permitted by law.

The Referral Partner is responsible for providing accurate payout information.

9. COMMISSION RATE PROTECTION AND PROGRAM CHANGES

The standard referral commission rate at the time of this Agreement is 10%.

For referrals accepted and qualified under this Agreement, the 10% commission rate will remain applicable to those referrals while they continue to qualify, unless a change is required by law or the parties agree otherwise in writing.

Freedom Oaks may modify commission rates, eligibility requirements, or other program terms for future referrals by providing notice.

Changes to future referral rates will not retroactively reduce the commission rate applicable to previously accepted, qualified referrals.

Freedom Oaks may discontinue accepting new referrals or terminate the program prospectively, subject to its obligations for previously earned commissions and any surviving contractual commitments.

10. REFERRAL PARTNER RESPONSIBILITIES

Referral Partners agree to:

• Make truthful, accurate statements about Freedom Oaks and its services.
• Avoid misleading promises about results, pricing, or capabilities.
• Obtain appropriate permission before sharing another person's private contact information.
• Respect prospective clients who decline further communication.
• Avoid unsolicited bulk messaging, spam, or other unlawful marketing practices.
• Clearly disclose their financial relationship with Freedom Oaks when recommending the Company, as required by applicable advertising and endorsement laws.
• Avoid presenting themselves as an employee, authorized agent, or sales representative of Freedom Oaks.

Referral Partners may make introductions but are not authorized to negotiate contracts, offer discounts, guarantee results, or make binding commitments on behalf of Freedom Oaks.

11. INDEPENDENT RELATIONSHIP

Referral Partners act independently and are not employees, contractors engaged to perform services, legal agents, or representatives authorized to bind Freedom Oaks.

Participation in the program does not grant authority to act on behalf of Freedom Oaks.

Referral Partners are responsible for their own business expenses and any applicable taxes arising from commissions received.

12. TAXES AND PAYMENT INFORMATION

Referral Partners are responsible for reporting and paying any taxes applicable to their commission income.

Freedom Oaks may request a completed IRS Form W-9 or other required tax documentation before issuing payments.

Freedom Oaks will provide applicable tax reporting forms when required by law.

Failure to provide legally required tax or payment information may delay payments.

13. REFUNDS, CHARGEBACKS, AND NONPAYMENT

If a referred client's subscription payment is refunded, reversed, charged back, or otherwise not retained by Freedom Oaks, the corresponding commission is not earned.

If a commission has already been paid on revenue later refunded or reversed, Freedom Oaks may recover the overpayment or offset it against future commissions, to the extent permitted by law.

No commission is owed on unpaid invoices or unsuccessful payment attempts.

14. INTELLECTUAL PROPERTY AND BRAND USAGE

Freedom Oaks retains all rights to its company name, trademarks, logos, marketing materials, websites, and other intellectual property.

Referral Partners may use officially provided referral links and approved promotional materials solely for authorized program participation.

Partners may not modify the Company's branding in a misleading manner or create advertisements that falsely imply official sponsorship, employment, or endorsement beyond their actual relationship.

15. CONFIDENTIALITY AND DATA PROTECTION

Referral Partners must protect any confidential business information received through participation in the program.

Partners may not access, disclose, or misuse confidential information concerning other Freedom Oaks clients.

Referral information will be handled in accordance with applicable privacy requirements and the Company's Privacy Policy:

16. TERMINATION

Either party may end the Referral Partner's participation in the program by providing written notice.

Freedom Oaks may suspend or immediately terminate participation for fraud, intentional misrepresentation, unlawful conduct, or material violation of this Agreement.

Termination of the Referral Partner's underlying Freedom Oaks subscription automatically ends eligibility for new referral commissions.

Termination does not eliminate payment obligations for commissions validly earned before termination, subject to applicable adjustments.

Referral Partners have no entitlement to commissions on subscription payments collected after their eligibility ends.

17. NO GUARANTEE OF EARNINGS

Freedom Oaks does not guarantee any minimum number of referrals, successful conversions, subscription payments, or commission earnings.

All earning examples are illustrative.

Actual results depend on referral quality, prospective client decisions, subscription pricing, payment collection, and continued eligibility.

18. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, consequential, or punitive damages arising from participation in the referral program.

Nothing in this Agreement excludes liability that cannot lawfully be excluded.

This provision does not eliminate Freedom Oaks' obligation to pay commissions properly earned under this Agreement.

19. GOVERNING LAW AND DISPUTES

This Agreement shall be governed by the laws of the State of Tennessee, without regard to its conflict-of-laws rules.

Before initiating formal legal proceedings, the parties agree to make a good-faith attempt to resolve disputes through written communication.

Any legal proceedings shall be brought in a court of competent jurisdiction in Tennessee, subject to applicable law.

20. ENTIRE AGREEMENT AND ELECTRONIC ACCEPTANCE

This Agreement constitutes the entire understanding between Freedom Oaks and the Referral Partner regarding participation in the referral program and supersedes prior discussions concerning the same subject matter.

Any amendment affecting previously accepted referral commission rates must comply with Section 9.

If any provision is determined to be unenforceable, the remaining provisions shall continue in effect to the extent permitted by law.

Electronic signatures, digital acceptance, and electronically maintained records may be used to execute and administer this Agreement, consistent with applicable law.

21. REFERRAL PARTNER ACKNOWLEDGMENT

By electronically accepting this Agreement, the Referral Partner acknowledges that they:

• Have read and understand the terms.
• Understand that commissions are calculated at 10% of qualifying collected monthly subscription revenue.
• Understand that commissions are uncapped but not guaranteed.
• Understand that continued commission eligibility requires both businesses to remain active and eligible.
• Agree to the referral submission, attribution, payment, and compliance requirements.
• Voluntarily enroll in the Freedom Oaks Digital Referral Partner Program.

Electronic acceptance is completed at enrollment: when you submit the Freedom Oaks Digital sign-up form and confirm that you accept this Agreement, your name, business name, email address, and the acceptance date are recorded as your electronic signature.

This Agreement is intended for use with the Freedom Oaks Digital Referral Partner Program and should be reviewed by a Tennessee-licensed attorney before publication or execution.
